1. ACCEPTANCE OF TERMS

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "Guest," or "Customer") and Check Valet Inc, a New York corporation ("Check Valet," "Company," "we," "us," or "our"), governing your access to and use of the Check Valet mobile web application, website, and all associated services (collectively, the "Platform").

By registering an account, clicking "I Agree," or using any feature of the Platform, you represent that:

  • You are at least 18 years of age;
  • You have the legal capacity to enter into a binding agreement;
  • You agree to these Terms and our Privacy Policy, incorporated herein by reference.

We reserve the right to modify these Terms at any time. Continued use of the Platform following notice of changes constitutes acceptance of the revised Terms.

2. SERVICES OFFERED

Check Valet provides the following services through the Platform. Each service is subject to availability, location, and the additional terms set forth herein.

2.1 Valet Parking Service

Check Valet provides professional valet parking attendants at participating restaurant, venue, and hospitality locations. Upon surrendering your vehicle to a Check Valet attendant, a claim ticket will be issued. The claim ticket is required for vehicle retrieval. Check Valet is not responsible for delays, damage, or loss resulting from failure to present a valid claim ticket.

2.2 Self-Parking (QR/App-Based)

Check Valet operates designated self-parking lots accessible via QR code and the Platform. Users may reserve parking in advance or upon arrival. Payment is processed through the Platform at the time of parking. Users must comply with all posted lot rules, time restrictions, and space assignments. Check Valet reserves the right to tow or remove vehicles that violate posted lot terms at the vehicle owner's sole expense.

2.3 Safe Home Service

Check Valet provides transportation services ("Safe Home") to assist guests in reaching their registered home address safely. Safe Home rides are operated by a combination of Check Valet employees and independent contractors. All drivers are screened prior to service.

Eligibility and Informed Consent

You must be registered through the check valet website (check-valet.com) prior to ordering any Safe Home Services. Any agreement entered into while intoxicated, impaired, or otherwise incapable of providing informed consent is null and void, and Check Valet reserves the right to deny service in such circumstances without refund or service credit.

Service Availability and Booking Notice

Safe Home services are subject to availability. Requests made with less than three (3) hours of advance notice are not guaranteed. A late booking fee of $50 applies to pre-purchased gift certificates or packages booked with less than three (3) hours of notice.

Delivery Location Restriction

Safe Home Ride Service and Midnight Vehicle Delivery are available only to the User's registered home address on file with Check Valet at the time of booking. Check Valet will not transport passengers or vehicles to any address other than the registered home address without prior written authorization. Users are responsible for ensuring their registered home address is current and accurate.

Right to Refuse Service

Check Valet reserves the right to refuse, cancel, or terminate any Safe Home service at any time due to safety concerns, staffing availability, vehicle condition, weather conditions, passenger behavior, or any other liability concern determined at Check Valet's sole discretion. Refusal of service under these circumstances does not entitle the User to a cash refund; a service credit may be issued at Check Valet's discretion. By using Safe Home, you agree that Check Valet's liability for transportation services is limited as set forth in Section 9 of these Terms.

2.4 Midnight Vehicle Delivery

Check Valet's Midnight Vehicle Delivery service allows authorized Users to request delivery of their personal vehicle to the User's registered home address on file with Check Valet. Delivery to any other address is not permitted without prior written approval. This service is available during designated hours and service zones only. By requesting vehicle delivery, you authorize Check Valet and its designated employees or contractors to operate your vehicle on public roads for the sole purpose of delivery to the registered home address. You represent that your vehicle is properly insured, registered, and legally operable. Check Valet is not responsible for pre-existing damage, mechanical failure, or vehicle conditions undisclosed at the time of service request.

3. ACCOUNT REGISTRATION

To access certain features of from Check Valet, you must create an account. You agree to:

  • Provide accurate, current, and complete registration information including your full name, phone number, email address, and valid payment method;
  • Maintain the security of your account credentials and not share them with any third party;
  • Notify Check Valet immediately of any unauthorized use of your account;
  • Provide your vehicle license plate number(s) for applicable services.

Check Valet reserves the right to suspend or terminate any account for violations of these Terms, provision of false information, or conduct that Check Valet determines, in its sole discretion, to be harmful to the Platform, other users, or third parties.

4. PAYMENTS, FEES, AND SERVICE CREDITS 4.1 Payment Processing

All payments are processed through Stripe, Inc., a third-party payment processor. By providing payment information, you authorize Check Valet and Stripe to charge your selected payment method for all applicable fees. Stripe's terms of service and privacy policy apply to payment processing activities.

4.2 Fees

Service fees are displayed on the Platform prior to confirmation. Fees may include parking rates, service charges, convenience fees, and applicable taxes. All fees are quoted in U.S. dollars. Check Valet reserves the right to modify fees at any time with reasonable notice posted on the Platform.

4.3 Overstay and Violation Charges

For self-parking lots, vehicles remaining beyond the reserved or permitted time period will be subject to overstay charges automatically applied to the payment method on file. Vehicles in violation of lot rules may be towed at the vehicle owner's expense without further notice.

4.4 No Cash Refund Policy — Service Credits Only

ALL FEES PAID TO CHECK VALET ARE NON-REFUNDABLE. In the event of a service issue, Check Valet may, in its sole discretion, issue a service credit to your account. Service credits:

  • Have no cash value and cannot be redeemed for cash;
  • Are non-transferable and may only be applied to future Check Valet services;
  • Are issued within 24 hours of an approved credit request;
  • Expire 12 months from the date of issuance.

The sole exception to this policy is a demonstrable billing error caused by Check Valet's technical systems, in which case a refund to the original payment method may be issued at Check Valet's discretion. To request a service credit or report a billing error, contact support@checkvaletapp.com.

5. SMS MARKETING AND COMMUNICATIONS CONSENT 5.1 Consent to Receive Text Messages

BY CREATING AN ACCOUNT/BOOKING/REGISTRATION/INQUERY ON THE PLATFORM, YOU EXPRESSLY CONSENT TO RECEIVE RECURRING AUTOMATED AND NON-AUTOMATED TEXT MESSAGES (SMS/MMS) FROM CHECK VALET INC AT THE PHONE NUMBER PROVIDED DURING REGISTRATION. These messages may include:

  • Service confirmations, updates, and alerts related to your bookings;
  • Promotional offers, discounts, and marketing communications;
  • Event and venue partnership announcements;
  • Loyalty program updates and service credit notifications;
  • Community safety and operational announcements.

Message frequency will vary. Standard message and data rates may apply depending on your carrier plan. Consent to receive marketing messages is not a condition of purchasing any service.

5.2 Opt-Out

You may opt out of marketing text messages at any time by replying STOP to any Check Valet text message or by updating your preferences in the Platform settings. Following your opt-out request, you may receive one final confirmation message. Opting out of marketing messages does not affect transactional messages related to active service bookings.

5.3 TCPA Compliance

Check Valet's SMS communications comply with the Telephone Consumer Protection Act (TCPA) and applicable FCC regulations. By providing your phone number, you represent that you are the authorized user of that number. You agree to notify Check Valet promptly if your phone number changes.

5.4 Email and Platform Notifications

By creating an account, you also consent to receive email communications and in-app notifications from Check Valet. You may manage email preferences through your account settings or by clicking "Unsubscribe" in any marketing email.

6. DATA COLLECTION AND USE

Check Valet collects and uses the following categories of data to operate their platform, improve services, and generate hospitality and mobility insights:

  • Full name, email address, and phone number;
  • Vehicle license plate number(s) and all vehicle information;
  • Location data during active service sessions;
  • Parking behavior, arrival time, visit frequency, and length of stay;
  • Payment information (processed and stored by Stripe);
  • Restaurant, venue, and destination data associated with service use.

Check Valet may use aggregated and anonymized data to provide hospitality analytics to partner restaurants and venues. Check Valet maintains ownership of all platform data and customer relationships. 7. VEHICLE CONDITION AND USER REPRESENTATIONS

By using any Check Valet service involving the operation or storage of your vehicle, you represent and warrant that:

  • You are the registered owner of the vehicle or have express authorization from the registered owner to surrender the vehicle to Check Valet;
  • The vehicle is in safe and operable condition and does not present any known mechanical hazard;
  • The vehicle carries valid automobile insurance coverage meeting New York State minimums;
  • The vehicle is legally registered and permitted to operate on public roads;
  • You will disclose any known pre-existing damage prior to surrendering the vehicle.

Check Valet recommends that all Users complete a visual inspection of their vehicle and note any pre-existing damage on the claim ticket at the time of service. Failure to document pre-existing damage may limit Check Valet's liability for any claimed damage.

8. PROHIBITED CONDUCT

You agree not to use the Platform or any Check Valet service to:

  • Provide false, misleading, or fraudulent information;
  • Surrender a vehicle that is not yours without documented authorization;
  • Use the Platform for any unlawful purpose or in violation of any applicable law;
  • Threaten, harass, or abuse any Check Valet employee, contractor, or other user;
  • Attempt to circumvent any technology, access controls, or security features of the Platform;
  • Resell, transfer, or commercially exploit any service or feature of the Platform without written consent from Check Valet.

Check Valet reserves the right to deny service, suspend, or permanently ban any user found to be in violation of this section, without refund or service credit.

9. LIMITATION OF LIABILITY AND DISCLAIMERS 9.1 Vehicle Damage

Check Valet carries commercial liability insurance. In the event of vehicle damage occurring while in Check Valet's custody and control, Check Valet's liability shall be limited to documented actual repair costs for damage directly caused by Check Valet's negligence, subject to a maximum liability cap of $2,500 per incident unless otherwise agreed in writing. Check Valet is not liable for damage to vehicle contents, personal property left in the vehicle, or pre-existing damage.

9.2 Safe Home and Transportation Liability

Check Valet provides Safe Home transportation as a convenience service. To the maximum extent permitted by applicable law, Check Valet's liability for personal injury, property damage, or loss arising from Safe Home transportation services shall be limited to the amount of insurance coverage available for the incident. Check Valet is not liable for delays, route changes, or service unavailability due to weather, traffic, or other conditions beyond its control.

9.3 Midnight Vehicle Delivery Liability

By authorizing vehicle delivery, you acknowledge and accept that your vehicle will be operated on public roads by a Check Valet employee or contractor. Check Valet's liability for damage during delivery is limited to damage directly caused by Check Valet's negligence, subject to the liability cap in Section 9.1. Check Valet is not responsible for parking tickets, traffic violations, or tolls incurred during the delivery unless caused by Check Valet error.

9.4 General Disclaimer

THE PLATFORM AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. CHECK VALET DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHECK VALET SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM OR SERVICES.

9.5 Insurance Disclosure

Check Valet currently carries partial commercial insurance coverage. Users are advised to maintain their own automobile insurance coverage. Check Valet's insurance coverage does not replace or supplement your personal automobile or personal property insurance.

10. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Check Valet Inc, its officers, directors, employees, contractors, agents, and partners from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in connection with:

  • Your use of the Platform or any Check Valet service;
  • Your breach of these Terms;
  • Your violation of any applicable law or regulation;
  • Any misrepresentation made by you regarding your vehicle, identity, or authorization;
  • Any personal injury or property damage caused by your actions or your vehicle.
11. DISPUTE RESOLUTION — MANDATORY ARBITRATION
11.1 Agreement to Arbitrate

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

You and Check Valet agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or any Check Valet service ("Dispute") shall be resolved exclusively through binding individual arbitration, rather than in court. This arbitration agreement applies to all Disputes, including those arising before or after the date you accepted these Terms.

11.2 Arbitration Rules

Arbitration shall be conducted by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, as modified by these Terms. The arbitration shall take place in Suffolk County, New York, or via video conference at Check Valet's election. The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

11.3 Class Action Waiver

YOU AND CHECK VALET EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. All Disputes must be brought in an individual capacity. If this class action waiver is found to be unenforceable, the entire arbitration agreement in this Section 11 shall be void.

11.4 Small Claims Exception

Either party may bring an individual claim in a small claims court of competent jurisdiction in lieu of arbitration, provided the claim qualifies and remains in small claims court.

11.5 Governing Law

These Terms and any Dispute shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws provisions.

12. INDEPENDENT CONTRACTORS

Certain Check Valet services are fulfilled by independent contractors. Independent contractors are not employees of Check Valet for purposes of workers' compensation, unemployment insurance, or other employment law benefits. Check Valet screens all contractors prior to service engagement but does not guarantee the conduct of independent contractors beyond the scope of their service assignment. Check Valet's liability for the acts of independent contractors is limited as set forth in Section 9.

13. THIRD-PARTY SERVICES AND INTEGRATIONS

The Platform may integrate with or link to third-party services, including but not limited to Stripe for payment processing and reservation systems such as OpenTable. Check Valet is not responsible for the content, privacy practices, or terms of any third-party service. Your use of third-party services is governed by their respective terms of service and privacy policies.

14. INTELLECTUAL PROPERTY

All content on the Platform, including but not limited to the Check Valet name, logo, taglines, software, design, text, graphics, and data compilations, is the exclusive property of Check Valet Inc and is protected by applicable copyright, trademark, and intellectual property laws. You may not reproduce, distribute, or create derivative works from any Check Valet content without express written permission.

15. TERMINATION

Check Valet may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform immediately ceases. Any service credits in your account at the time of termination for cause may be forfeited. Termination does not relieve you of any obligations or liabilities incurred prior to termination.
You may terminate your account at any time by contacting support@checkvaletapp.com. Termination of your account does not entitle you to any cash refund of amounts paid.

16. FORCE MAJEURE

Check Valet shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, weather events, pandemics, government orders, labor disputes, infrastructure failures, or civil unrest.

17. SEVERABILITY

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

18. ENTIRE AGREEMENT

These Terms, together with the Check Valet Privacy Policy and any additional service-specific terms presented at the time of booking, constitute the entire agreement between you and Check Valet with respect to your use of the Platform and services, and supersede all prior agreements, understandings, and communications on such subject matter.
